1. Introduction and acceptance of terms
These Terms of Service (“Terms”) govern your access to and use of the photography, studio, editing, and related services provided by Northlight Portrait Studio Ltd (“Northlight Portrait Studio Ltd”, “we”, “us”, or “our”), a photo-studio business located at Unit 4, 18 Frederick Place, Brighton, BN1 4EA, UK.
By making a booking, paying a deposit or invoice, attending a session, requesting a service, or otherwise engaging with Northlight Portrait Studio Ltd, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use our services.
These Terms apply to all clients, subjects, attendees, purchasers, and any other person who uses or benefits from our services.
2. Scope of services
Northlight Portrait Studio Ltd provides professional photography and related creative services, including without limitation:
- Professional portrait photography;
- Family and couple photo sessions;
- Corporate headshots;
- Product photography;
- Brand content photography;
- Event photography; and
- Studio retouching and image editing.
The exact scope, location, duration, deliverables, usage rights, and any special requirements for a service will be confirmed in a booking confirmation, invoice, written agreement, quotation, or other written communication from Northlight Portrait Studio Ltd.
We may refuse, suspend, or decline a booking where we reasonably consider that the requested work is unlawful, unsafe, unethical, outside our capabilities, or inconsistent with our studio standards.
3. User obligations and responsibilities
You agree that you will:
- Provide accurate, complete, and current information when making a booking or inquiry;
- Arrive on time for your session and cooperate with reasonable directions given by our photographers or staff;
- Ensure that all attendees, models, children, assistants, and third parties comply with these Terms;
- Obtain all necessary permissions, consents, permits, and releases for any persons, locations, property, trademarks, artworks, pets, or materials included in a shoot, unless we expressly agree otherwise in writing;
- Ensure that any items supplied by you for product or commercial photography are lawful, safe, properly packaged, and suitable for the intended shoot;
- Not bring hazardous, illegal, offensive, or dangerous items into the studio or event location;
- Follow all health and safety instructions, studio rules, and venue requirements;
- Be responsible for supervising minors at all times, unless we have expressly agreed in writing to provide supervision;
- Respect the intellectual property, privacy, and personal rights of others; and
- Pay all fees, charges, and applicable taxes when due.
You are responsible for backup copies of any digital files, images, content, or materials you provide to us. We are not responsible for loss of client-supplied items unless such loss is caused by our proven negligence and cannot reasonably be excluded by law.
If your conduct, or the conduct of any attendee associated with your booking, is disruptive, unsafe, abusive, discriminatory, unlawful, or materially interferes with our ability to provide services, we may pause or terminate the session without refund, to the extent permitted by law.
4. Payment terms and conditions
Prices, deposits, session fees, editing fees, product charges, travel costs, licensing fees, and any additional charges will be communicated in our quotation, invoice, booking confirmation, or price list in force at the time of booking.
- A deposit or full prepayment may be required to secure a booking.
- Bookings are not confirmed until the required deposit or payment has been received and cleared, unless we agree otherwise in writing.
- Unless stated otherwise, all fees are payable in pounds sterling (GBP).
- Invoices must be paid by the due date specified on the invoice or booking confirmation.
- Late payments may result in suspension of services, delayed delivery, cancellation of booking, or reasonable late-payment charges, where permitted by law and stated in advance.
- Any bank fees, card processing fees, chargeback costs, or international transfer charges incurred in connection with payment by you are your responsibility unless we agree otherwise in writing.
For commercial, corporate, product, or brand work, any usage, licensing, or buyout terms will be set out in writing. Unless expressly agreed, payment of photography fees does not transfer ownership of copyright or grant unlimited usage rights.
If a quotation is based on information you provide and that information materially changes, we may revise the quotation, timeline, deliverables, and pricing accordingly.
5. Cancellation and refund policy
Cancellations must be made in writing by email to [email protected] unless we notify you of another method. The following terms apply unless a separate written agreement states otherwise:
- If you cancel more than 14 days before the scheduled session, any deposit may be non-refundable to cover administrative and reserved time costs, unless otherwise agreed in writing.
- If you cancel 14 days or fewer before the session, we may retain the deposit and charge reasonable cancellation fees for any committed costs already incurred.
- If you fail to attend a session, arrive substantially late, or are unable to proceed due to matters within your control, the booking may be treated as cancelled with no refund.
- If you request rescheduling, we will use reasonable efforts to accommodate you, subject to availability, and may charge an administrative or rebooking fee.
- For event, corporate, product, or bespoke commercial work, cancellation terms may be more restrictive due to advance planning, preparation, and reserved resources.
Refunds, where due, will be processed using the original payment method where reasonably practicable. Any refund will be limited to the amounts actually refundable under these Terms and applicable law.
We may cancel or reschedule a booking due to illness, equipment failure, unsafe conditions, venue restrictions, adverse weather affecting an outdoor shoot, or other circumstances beyond our reasonable control. In such cases, our liability will, at our option and to the extent permitted by law, be limited to rescheduling the service or refunding the fees paid for the affected service portion.
6. Liability limitations
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, or any other liability that cannot be excluded under applicable law.
Subject to the foregoing, Northlight Portrait Studio Ltd shall not be liable for:
- Indirect, incidental, special, consequential, or punitive losses;
- Loss of profit, revenue, business, goodwill, opportunity, or anticipated savings;
- Loss, theft, or damage to client property except to the extent directly caused by our proven negligence and not otherwise excluded by law;
- Delays caused by you, third parties, venues, weather, transport disruption, or force majeure events;
- Colour variations, minor aesthetic differences, or subjective dissatisfaction where the service has been performed with reasonable skill and care;
- Failure to achieve specific outcomes, rankings, sales, marketing performance, or third-party approvals resulting from use of images or content; or
- Any unauthorised use, reproduction, alteration, or distribution of delivered images by third parties.
Where liability cannot be excluded, our aggregate liability for any claim arising out of or in connection with a specific booking or service shall be limited to the total fees paid by you for that specific service, except where a different limitation is required by law.
You acknowledge that photography services may be affected by lighting, subject cooperation, venue conditions, technical constraints, and external circumstances. While we will use reasonable skill and care, we do not guarantee any particular aesthetic result unless specifically agreed in writing.
7. Intellectual property rights
Unless expressly agreed in writing, all copyright and other intellectual property rights in photographs, edited images, previews, contact sheets, concepts, creative compositions, and related materials created by Northlight Portrait Studio Ltd remain the property of Northlight Portrait Studio Ltd or its licensors.
Subject to full payment of all applicable fees, you are granted only the usage rights, licence, or deliverables expressly stated in your booking confirmation, invoice, or written agreement. Any rights not expressly granted are reserved.
Without our prior written consent, you must not:
- Sell, sub-license, or commercially exploit images beyond the scope of the agreed licence;
- Alter images in a way that misrepresents our work or removes embedded copyright information, where applicable;
- Claim authorship of images created by Northlight Portrait Studio Ltd;
- Use images in a defamatory, unlawful, misleading, or defamatory context; or
- Remove watermarks or metadata where applicable and where doing so is not expressly permitted.
For commercial assignments, portfolio use, and promotional use, we may retain the right to display selected images on our website, social media, brochures, competitions, editorials, or other promotional materials, unless you notify us in writing before the session that you require confidentiality and we confirm otherwise in writing.
If you provide logos, artwork, product designs, branding assets, or other copyrighted content, you confirm that you have the legal right to use and authorise us to photograph, reproduce, and edit those materials for the agreed purpose.
8. Data protection and privacy
Northlight Portrait Studio Ltd handles personal data in connection with inquiries, bookings, payments, communications, image delivery, and service administration. We will process personal data in accordance with applicable data protection and privacy laws.
Personal data may include names, contact details, booking information, payment details, correspondence, and image content featuring identifiable individuals.
We use personal data to:
- Manage bookings and provide services;
- Process payments and issue invoices;
- Communicate with you regarding your session or deliverables;
- Maintain business records and legal compliance;
- Protect our business, staff, and clients;
- Deliver digital galleries or physical products; and

9. Force majeure
Northlight Portrait Studio Ltd shall not be liable for any failure or delay in performing its obligations where such failure or delay results from events beyond our reasonable control, including but not limited to acts of God, fire, flood, severe weather, epidemic, pandemic, labour dispute, illness, power failure, telecommunications failure, equipment failure, transport disruption, government action, venue closure, civil unrest, war, terrorism, or the acts or omissions of third parties.
If a force majeure event occurs, we may suspend performance, reschedule the service, modify deliverables, or cancel the affected booking with a refund of any fees paid for the undelivered portion, subject to any non-recoverable costs already incurred and to the extent permitted by law.
10. Changes to terms
We may revise these Terms from time to time to reflect changes in our services, business practices, legal requirements, or operational needs. The updated Terms will take effect when published on our website or otherwise communicated to you, unless a later effective date is stated.
Continued use of our services after the effective date of revised Terms constitutes acceptance of the updated Terms. If you do not agree to the revised Terms, you must stop using our services and, where applicable, contact us to discuss your booking.
11. Applicable law and jurisdiction
These Terms and any dispute or claim arising out of or in connection with them, their subject matter, or their formation shall be governed by and construed in accordance with the laws applicable in England and Wales, unless mandatory law provides otherwise.
Subject to any mandatory consumer rights or other compulsory legal provisions, the courts of England and Wales shall have exclusive jurisdiction over any dispute or claim arising from or relating to these Terms or our services.

13. Severability clause
If any provision of these Terms is held to be invalid, unlawful, void, or unenforceable by a court or competent authority, that provision shall be deemed modified to the minimum extent necessary to make it valid and enforceable, or if that is not possible, severed from these Terms.
